1. Acceptance of Terms

Welcome to UnDHD. These Terms of Service ("Terms") govern your access to and use of the UnDHD website (undhd.com), application (app.undhd.com), and related services (collectively, the "Service") provided by UnDHD ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Service.

2. Description of Service

UnDHD is an AI-powered task management platform that provides:

  • Task, project, and goal management with hierarchical organization (Projects, Rocks, Problems, Tasks)
  • AI-powered scheduling, task categorization, and time estimation
  • Daily check-ins and weekly reviews
  • Habit tracking and progress logging
  • File attachments and comments
  • Time tracking features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 16 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement.

3.3 Account Termination

You may delete your account at any time through the account settings. We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion.

4. Subscription Plans and Payment

4.1 Plans

We offer the following subscription plans:

  • Free: Basic features at no cost
  • BYOK (Bring Your Own Key): $5/month - Full AI features using your own OpenAI API key
  • Full: $15/month - Full AI features with AI usage included (7-day free trial available)

4.2 Billing

  • Paid subscriptions are billed monthly in advance
  • All fees are in USD unless otherwise stated
  • Payments are processed securely through Stripe
  • You authorize us to charge your payment method for recurring subscriptions

4.3 Free Trial

The Full plan includes a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, you will be charged for the first month of service.

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial months
  • You retain access to paid features until the end of your billing period

4.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will apply to your next billing cycle after the notice period.

5. BYOK (Bring Your Own Key) Terms

If you use our BYOK plan with your own OpenAI API key:

  • You are responsible for your OpenAI account and any associated costs
  • You must comply with OpenAI's Terms of Service and Usage Policies
  • We store your API key securely and encrypted
  • We are not responsible for charges incurred on your OpenAI account
  • You acknowledge that your data is processed by OpenAI according to their policies

6. User Content and Data

6.1 Your Content

You retain ownership of all content you create, upload, or input into the Service ("User Content"), including tasks, projects, comments, and files.

6.2 License Grant

By using our Service, you grant us a limited license to:

  • Store and process your User Content to provide the Service
  • Transmit your User Content to third-party AI providers (OpenAI) for AI features
  • Create backups of your User Content
  • Display your User Content back to you

6.3 Content Restrictions

You agree not to upload or create content that:

  • Violates any applicable law or regulation
  • Infringes on intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Is defamatory, harassing, or threatening
  • Contains illegal or harmful content

6.4 Data Export

You may export your data at any time through the account settings (where available) or by contacting support.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Circumvent any security or rate-limiting features
  • Impersonate others or misrepresent your affiliation
  • Share your account credentials with others
  • Resell or redistribute the Service without authorization
  • Use the Service to develop competing products

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, code, and content (excluding User Content), is owned by UnDHD and protected by intellectual property laws. You may not copy, modify, or distribute our Service without permission.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use and implement such feedback without obligation to you.

9. Third-Party Services

Our Service integrates with third-party services, including:

  • OpenAI: For AI-powered features
  • Stripe: For payment processing

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for third-party services or their availability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

AI features provide suggestions and recommendations only. You are responsible for verifying and acting on any AI-generated content. We do not guarantee specific results from using the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDHD SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • Actions taken based on AI recommendations
  • Third-party conduct or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless UnDHD and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

13. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

  • Perform maintenance with or without notice
  • Modify or discontinue features
  • Impose usage limits
  • Suspend the Service for security or legal reasons

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which UnDHD is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except for claims that may be brought in small claims court. You waive any right to participate in class actions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UnDHD regarding the Service and supersede any prior agreements.
